This English translation is provided for convenience. The French version is the legally binding text and prevails in the event of any discrepancy.

1. Purpose and scope

These Terms of Sale (conditions générales de vente, “Terms”) govern the sale, on the pluginect.com website, of licenses giving access to the paid versions of the WordPress plugins published under the Pluginect name, and to the services attached to them: downloads, updates and support.

They apply to every order placed on the website, whatever the customer’s country and whether the customer is acting as a consumer or as a business. The customer accepts them by ticking the box provided for this purpose before payment; they prevail over any other document, in particular over any purchasing terms of the customer. The applicable version is the one in force on the date of the order; it is provided with the confirmation email by way of a link and can be saved or printed at any time.

In these Terms, “consumer” means any natural person acting for purposes that fall outside their commercial, industrial, craft, professional or agricultural activity; “business” means any other customer.

2. Seller

Licenses are sold by Anthony Laurent EI, an Entrepreneur individuel (French sole proprietorship) trading as Pluginect, 1 Route de l’Hers, 31150 Lespinasse, France, registered in the French National Business Register (Registre national des entreprises) under SIREN number 824 081 004 (SIRET 824 081 004 00023). VAT not applicable, Article 293 B of the French General Tax Code (Code général des impôts).

Contact: contact@a-laurent.fr, 07 50 45 33 68 (Monday to Friday, 9 a.m. to 6 p.m., Paris time), or the form on the Contact page. Communication is in French or English.

3. Products

Each offer is presented on its sales page with its main characteristics: features, number of sites on which the license can be activated, period of access to updates and support, and the required versions of WordPress, WooCommerce and PHP. It is the customer’s responsibility to check, before ordering, that their website meets these requirements.

The free version of each plugin and, where available, its demo site allow the plugin to be evaluated before purchase. Screenshots and examples shown on the website are for illustration only; the appearance may vary depending on the theme, language and configuration of the customer’s website.

4. License

The plugin code is distributed under the GNU General Public License, version 2 or later (GPL-2.0-or-later). The purchase does not restrict any of the rights that this license grants over the code.

The purchased license key gives access, for the period and number of sites specified in the offer, to:

  • downloading the plugin from My account;
  • activating the paid features on the sites where the license is activated;
  • updates, installed directly from the WordPress admin;
  • support, under the conditions set out in Article 11.

A license can be deactivated on a site, from the WordPress admin or from My account, and then activated on another site; the paid features then stop working on the first site, while the settings and data already saved there are kept. Activation on a development or staging site may be counted separately, as specified on the offer page.

When a fixed-term license expires, the installed plugin continues to work with all of its features; only access to new updates, downloads and support ends, until the license is renewed, if it is. Where the offer has no time limit, this access is maintained for as long as the plugin is distributed and maintained; if it is discontinued, the customer is informed at least three months in advance and keeps the last published version.

The license key is personal. Reselling it, publishing it or using it on more sites than the offer allows may lead to its suspension and then its revocation, after a formal notice that has remained unheeded for fifteen days, except in cases of manifest fraud. A revoked license, in particular following a full refund, disables the paid features on the sites where it was activated.

The Pluginect name, logos, documentation and website content remain the property of the publisher; the GPL does not extend to these items or to the services attached to a paid license.

5. Prices and taxes

Prices are shown in euros. VAT not applicable, Article 293 B of the French General Tax Code (Code général des impôts): no value added tax is charged, and the price displayed is the total price payable. If the rules ever require a tax to be collected (in particular VAT of the customer’s country), its amount will be clearly shown before the order is confirmed.

For customers established outside France, any duties, local taxes or withholding taxes, as well as any currency conversion fees or bank charges applied by their own bank, are payable by the customer.

The applicable price is the one displayed when the order is confirmed. Prices may be changed at any time; a change never applies to an order that has already been confirmed. An invoice is issued for each order and remains available in My account.

6. Ordering

Placing an order requires a customer account, which is created at the time of the order if it does not already exist. This account gives access to invoices, license keys and downloads. The customer guarantees that the information provided is accurate, in particular their email address and, if acting as a business, their company name and VAT number.

The customer selects the offer, checks the order summary and its total price, corrects the information entered if necessary, accepts these Terms, and then confirms the order using the payment button. This confirmation constitutes conclusion of the contract. A summary email is sent to the address provided.

The contract is concluded in French. The order summary and the invoice are archived on a reliable and durable medium and can be provided to the customer on request. An order may be refused in the event of a previous payment dispute, suspected fraud, or where the sale is prohibited by applicable regulations (in particular international sanctions).

7. Payment

The price is payable in full when ordering, by one of the payment methods offered on the checkout page, through a secure payment provider. Payment data is processed directly by that provider over an encrypted connection; the seller never has access to card numbers.

The order is processed only once the provider has confirmed the payment. If the payment is declined, the order is canceled. In the event of an unjustified payment stop or chargeback, the corresponding license may be suspended until the situation is resolved.

8. Delivery

The license key is generated automatically as soon as payment is confirmed. It is sent by email and remains available, together with the plugin download link, in My account, under Licenses & downloads. Delivery is entirely digital; nothing is shipped physically.

If the key does not appear within one hour of payment, the customer is asked to write to contact@a-laurent.fr; the issue will be handled as a priority.

9. Right of withdrawal

As a general rule, consumers have 14 days from the conclusion of the contract to withdraw from it, without having to give any reason (French Consumer Code (Code de la consommation), Article L221-18). Consumers resident in another Member State of the European Union enjoy the same right under Directive 2011/83/EU.

Exception for licenses. In accordance with Article L221-28, 13° of the French Consumer Code (Code de la consommation) and Article 16 of Directive 2011/83/EU, the right of withdrawal cannot be exercised for the supply of digital content not supplied on a tangible medium where performance has begun with the consumer’s prior express consent and the consumer has also acknowledged losing their right of withdrawal.

To receive their key immediately, the customer ticks a box before payment by which they request immediate performance of the contract and acknowledge that they lose their right of withdrawal. This time-stamped consent is confirmed to them in the order email.

The right of withdrawal is reserved for consumers, and for businesses with no more than five employees where the purchase falls outside the scope of their main activity (French Consumer Code (Code de la consommation), Article L221-3). It does not apply to other business purchases.

Independently of this right, the seller offers a commercial “money-back guarantee”, described in the next article and on the Refund policy page, which also contains the model withdrawal form.

10. Money-back guarantee

If the plugin does not work on the customer’s website even though the website meets the stated requirements, and the problem could not be solved with the help of support, the license price is refunded in full on simple request made within 14 days of purchase. This commercial guarantee benefits all customers, consumers and businesses alike, and is in addition to, not a replacement for, the statutory warranties.

The refund is made to the payment method used for the order, within 14 days at the latest from approval of the request; it results in the revocation of the license.

11. Support and updates

During the access period specified in the offer, support answers questions about installing, configuring and using the plugin, by email at contact@a-laurent.fr or via the Contact page, in French or English, with an indicative response time of two business days (business days in France). Support does not include custom development, work on third-party plugins or themes, or administration of the customer’s website.

Updates fix bugs, maintain compatibility with current versions of WordPress, WooCommerce and PHP, and may change the features. The essential features of the purchased offer are not removed during the period of access to updates.

12. Statutory warranties

Consumers. Consumers benefit from the statutory guarantee of conformity applicable to digital content and digital services (French Consumer Code (Code de la consommation), Articles L224-25-1 et seq.), as well as from the equivalent protections provided by the law of their country of residence in the European Union (Directive (EU) 2019/770). In particular, they may have the digital content brought into conformity or, failing that, obtain a price reduction or termination of the contract, free of charge. The seller provides the updates, including security updates, needed to keep the digital content in conformity for the period the consumer may reasonably expect; the consumer is not required to install them, but the seller is not liable for any lack of conformity resulting from their not being installed.

Businesses. The plugin is supplied in accordance with its description. To the fullest extent permitted by applicable law, no other warranty, express or implied, is given, in particular as to fitness for a particular purpose not described on the sales page; the statutory warranty against hidden defects (garantie des vices cachés) remains applicable under the conditions of French law.

To make a warranty claim, write to contact@a-laurent.fr, describing the problem you are experiencing.

13. Customer obligations

The customer undertakes to use the plugin in accordance with the law and its documentation, to maintain their website, hosting and backups, and to back up their website before any installation or update. The customer remains solely responsible for the data they process with the plugin, in particular with regard to the data protection rules applicable to their website, and for informing their own customers and visitors.

The customer represents that they are not subject to any international sanctions measure that would prohibit the sale, and that they will not use the plugin in breach of applicable export control regulations.

14. Liability

The seller cannot be held liable for a malfunction caused by a third-party plugin or theme, by hosting or a configuration that does not meet the stated requirements, by a modification of the plugin code by the customer or a third party, or by use that does not comply with the documentation.

Businesses. To the fullest extent permitted by law, the seller’s liability is limited to direct and foreseeable damage and capped, for all causes combined, at the amount paid for the license concerned during the twelve months preceding the event giving rise to the liability. Indirect damage is excluded, in particular loss of revenue, data, customers or reputation.

Consumers. These limitations do not apply to consumers, whose statutory rights remain unaffected. Nothing in these Terms limits the seller’s liability for gross negligence or willful misconduct, or for personal injury.

15. Force majeure

Neither party is liable for a failure caused by a force majeure event within the meaning of Article 1218 of the French Civil Code (Code civil), in particular a major outage of networks, of the hosting provider or of the payment provider that is beyond its control. The obligations concerned are suspended for the duration of the event.

16. Personal data

The data collected when an order is placed is necessary to fulfill it. How it is processed, who receives it and the customer’s rights are described in the Privacy Policy.

17. Changes to these Terms

These Terms may be changed at any time. The applicable terms are those accepted when the order was placed; for licenses with renewal, amended terms apply only from the next renewal, after the customer has been informed.

18. Complaints and mediation

Any complaint may be sent in writing to contact@a-laurent.fr or to the postal address given in Article 2; a reply will be provided within fifteen days.

If a dispute remains unresolved, consumers may refer it free of charge to the consumer mediator to which the seller belongs (French Consumer Code (Code de la consommation), Articles L611-1 et seq.): [To be completed: name, address and website of the consumer mediator you have joined]. A matter may be referred to the mediator only after a prior written complaint has failed to produce a satisfactory solution, and within one year of that complaint. Consumers resident in another European Union country may also contact the European Consumer Centre in their country.

19. Governing law and jurisdiction

These Terms are governed by French law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980).

Consumers resident outside France retain the benefit of any mandatory provisions of the law of their country of residence that are more favorable to them. They may, at their choice, bring proceedings before the court of the place where they lived when the contract was concluded or before the court of the seller’s domicile, under the conditions provided by law.

For any dispute with a business, and failing an amicable settlement within thirty days of the written complaint, exclusive jurisdiction is conferred on the courts within the jurisdiction of the Toulouse Court of Appeal (cour d’appel de Toulouse), including in the event of multiple defendants or third-party warranty claims.

20. Miscellaneous

If any provision of these Terms is held to be void or unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce a breach does not constitute a waiver of the right to enforce it later.

Only the French version of these Terms is authoritative; any translation is provided for information purposes only.
